1. Acceptance of Terms

By accessing and utilizing the Pravyon CRM platform ("Service"), a product by Pravyon Technologies, you agree to be bound by these Terms and Conditions. If you are accepting on behalf of a manufacturing business, factory, or corporate entity, you represent that you possess the legal authority to bind such entity to these terms. If you do not agree to these terms, you must abstain from using the platform.

2. Description of Service

Pravyon is a cloud-based Software as a Service (SaaS) platform providing CRM and operational tools specific to uPVC, Aluminum, and standard manufacturing businesses. Core functionalities include lead management, quotation generation, production tracking, and order fulfillment tracking. We reserve the right to modify, upgrade, or remove features at any time to improve the Service.

3. User Accounts

• To utilize the Service, you must register for an account providing accurate organizational details, including your valid GST Number (if applicable in India).
• You are entirely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Pravyon CRM allows role-based access for factory staff and sales agents. The business owner remains liable for the conduct of all sub-users added to their organizational account.

4. Acceptable Use

You agree not to use Pravyon CRM to:

• Engage in illegal activities or promote unlawful practices.
• Upload malicious code, viruses, or attempt to compromise the integrity of our servers.
• Reverse-engineer, copy, or replicate our proprietary UI/UX, database schemas, or software architecture.
• Use the platform to distribute unsolicited promotional material (spam) to leads.

5. Subscription & Payments

Access to Pravyon CRM is provided on a subscription basis.

• Free Trial: We offer a 3-month free trial. No payment information is required to begin the trial.
• Standard Plan: Following the trial, continued access requires a subscription to our Standard Plan, priced at ₹3000 per month.
• Taxes: All listed prices are exclusive of applicable taxes. Goods and Services Tax (GST) will be levied at the prevailing rate as per Indian tax laws.
• Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis. Payments are non-refundable unless legally mandated.

6. Intellectual Property

Pravyon Technologies retains all intellectual property rights, including copyrights, trademarks, and patents, to the Pravyon CRM software, platform design, algorithms, and documentation. You are granted a limited, non-exclusive, non-transferable license to use the software for your internal business operations during your active subscription period.

7. Data Ownership

You retain complete ownership of all data inputted, generated, or uploaded by you within the CRM—including customer lists, manufacturing BOMs, pricing configurations, and factory workflows. Pravyon claims no ownership rights over your business data. You grant us a temporary license to host, process, and backup this data solely for the purpose of providing the Service.

8. Limitation of Liability

To the maximum extent permitted by Indian law, Pravyon Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, lost data (such as miscalculated quotations or delayed manufacturing pipelines), or business interruptions arising out of the use or inability to use the Service. Our total liability under these terms shall not exceed the subscription fees paid by you in the three (3) months preceding the incident.

9. Termination

You may cancel your subscription at any time through your dashboard. Upon cancellation, access to the platform will cease at the end of your current billing cycle. We reserve the right to suspend or terminate your account immediately if you breach these Terms and Conditions or the Acceptable Use guidelines. Upon termination, you will have a 30-day window to export your data before it is permanently deleted.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India. Any compliance requirements will align with the Indian IT Act 2000 and DPDP Act 2023.

11. Dispute Resolution

In the event of any dispute or disagreement arising from these Terms, the parties shall first attempt to resolve the matter amicably through good faith negotiations. If the dispute remains unresolved after 30 days, it shall be subject to the exclusive jurisdiction of the competent courts located in Gujarat, India.
